Petrobras pays about $2.7 billion to holders of notes from 12 series

Concord, N.H., April 13 – The amount paid by Brazil’s Petroleo Brasileiro SA (Petrobras) to holders of notes from 12 series accepted for purchase was about $2.7 billion, according to a Form 6-K filed with the Securities and Exchange Commission.

Petrobras had initially offered to pay up to an aggregate $3.5 billion to purchase the notes.

The final results and settlement of the previously announced cash tender offers by wholly owned subsidiary Petrobras Global Finance BV are as follows:

• $74.71 million tendered and accepted of the 5 5/8% global notes due May 2043 (Cusip: 71647NAA7) for a consideration of $1,042.76 per $1,000 principal amount;

• $865,314,000 tendered and accepted of the $3,930,399,000 outstanding 5.093% global notes due January 2030 (Cusips: 71647NBE8, 71647NBF5, N6945AAL1) for a consideration of $1,045.34 per $1,000 principal amount;

• $259,159,000 tendered and accepted of the $1,726,250,000 outstanding 6Ύ% global notes due June 2050 (Cusip: 71647NBG3) for a consideration of $1,075.43 per $1,000 principal amount;

• $304,317,000 tendered and accepted of the outstanding 6.9% global notes due March 2049 (Cusip: 71647NBD0) for a consideration of $1,104.60 per $1,000 principal amount;

• $121,435,000 tendered and accepted of the outstanding 5Ύ% global notes due February 2029 (Cusip: 71647NAZ2) for a consideration of $1,102.08 per $1,000 principal amount;

• $292,452,000 tendered and accepted of the 5.999% global notes due January 2028 (Cusips: 71647NAW9, N6945AAK3, 71647NAY5) for a consideration of $1,107.70 per $1,000 principal amount;

• $48,430,000 tendered and accepted of the outstanding 5.299% global notes due January 2025 (Cusips: 71647NAT6, 71647NAV1, N6945AAJ6) for a consideration of $1,105.35 per $1,000 principal amount;

• $20,687,000 tendered and accepted of the outstanding 6Ό% global notes due March 2024 (Cusip: 71647NAM1) for a consideration of $1,111.54 per $1,000 principal amount;

• $45,654,000 tendered and accepted of the 6Ύ% global notes due January 2041 (Cusip: 71645WAS0) for a consideration of $1,124.30 per $1,000 principal amount;

• $45,689,000 tendered and accepted of the 6 7/8% global notes due January 2040 (Cusip: 71645WAQ4) for a consideration of $1,135.00 per $1,000 principal amount;

• $360,895,000 tendered and accepted of the 7Ό% global notes due March 2044 (Cusip: 71647NAK5 for a consideration of $1,154.01 per $1,000 principal amount; and

• $57,479,000 tendered and accepted of the outstanding 7 3/8% global notes due January 2027 (Cusip: 71647NAS8) for a consideration of $1,195.07 per $1,000 principal amount.

The offers expired at 5 p.m. ET on April 7 and settled on Tuesday.

In addition to the consideration, holders received accrued interest to but excluding the settlement date.
