Logicor to accept tenders for €159.13 million of 0.5% notes due 2021

Olympia, Wash., July 10 – Logicor Financing Sarl announced the results of the cash tender offer for any and all of its €600 million 0.5% guaranteed notes due 2021, according to a London Stock Exchange notice.

By 11 a.m. ET on July 9, the expiration time, €159,134,000 of the notes were tendered under the offer. The company said it will accept all tendered notes for purchase.

Following settlement on July 14, €440,866,000 of the notes will remain outstanding.

As previously reported, the purchase price is €1,000 per €1,000 of notes. Accrued interest will also be paid.

Tender instructions are be irrevocable except in limited circumstances.

Tender had to be submitted in a minimum principal amount of no less than €100,000.

The offer is conditioned on the completion of the issuance of a new series of notes under the company’s euro medium-term note program.

Logicor said that when allocating new notes, it may give preference to holders who have tendered their existing notes under the offer.
