Covidien International Finance to redeem all 5.45% of notes due 2012

Minneapolis, May 22 - Covidien International Finance SA plans to redeem all of its 5.45% senior notes due October 2012, according to a filing with the Securities and Exchange Commission.

The notes will be redeemed on June 21 at a price equal to the greater of (a) 100% of the principal amount of the notes, or (b) as determined by the quotation agent for the notes, the sum of the present values of the remaining scheduled payments of principal and interest thereon due on any date after the redemption date discounted from their scheduled date of payment to the redemption date at the adjusted redemption treasury plus 20 basis points.

Holders of the notes subject to redemption also will receive accrued interest on the notes up to, but not including, the redemption date.
