Edge Petroleum adjourns annual meeting to Dec. 4

Charlotte, N.C., Oct. 23 - Edge Petroleum Corp. said it planned to convene its annual meeting Thursday and then immediately adjourn the meeting to 10 a.m. ET on Dec. 4.

The meeting is being held so shareholders can vote on Edge's merger with Chaparral Energy, Inc.

The adjournment will allow additional time for Edge common stockholders to receive and consider information described in Edge's Oct. 21 form 8-K filed with the Securities and Exchange Commission.

Edge's board adopted a third amendment to the company's bylaws effectively keeping the record date for the annual meeting the same for any adjournment.

Edge, a Houston-based oil and natural gas company, announced in July that it agreed to be acquired by Chaparral in an all-stock transaction that will result in Chaparral becoming a publicly traded company.

Edge common stockholders will receive 0.2511 shares of Chaparral common stock for each share of Edge common stock they own, it was previously reported.

Chaparral is an Oklahoma City-based oil and natural gas production and exploitation company.
