Transportadora de Gas Internacional announces early tender results

Buffalo, N.Y., Oct. 11 – Colombia’s Transportadora de Gas Internacional SA ESP announced the early tender results for its cash tender offer for up to $150 million of its $750 million outstanding 5.55% senior notes due 2028 (Cusips: 89387YAC5, P93077AC2), according to a press release on Tuesday.

As previously reported, the company is offering to pay $913 per $1,000 principal amount, which includes an early tender premium of $30 exclusive of accrued interest, which will also be paid.

As of 5 p.m. ET on Oct. 7, the early deadline and withdrawal deadline, the company received tenders from noteholders representing $134,554,000 in aggregate principal amount of notes.

The company has accepted all of the tendered notes for purchase, and early settlement is expected Oct. 13.

According to the press release, the company also extended the early tender premium through the expiration date, which is still scheduled to occur at 11:59 p.m. ET on Oct. 24.

The offer may be subject to proration if the cap is exceeded and not subsequently increased.

Settlement is expected on Oct. 26.
